1. Introduction, Scope & Definitions

These Terms of Service ("Terms") govern access to and use of the marketplace applications operated by AgoraCrew (operating under Optimise Inbox, hereinafter "we", "us", or "our"): ARBridge for QuickBooks, distributed via the HubSpot Marketplace, and Order Issue Alerts, distributed via the Shopify App Store (each an "App", together the "Services"). These Terms are distinct from, and supplement, any general engagement terms covering our custom software engineering or consulting services.

Key terms used throughout this document:

These Terms are entered into between professional/business entities and are not directed at consumers acting outside a trade, business, or profession.

2. Acceptance of These Terms

Installing an App from the HubSpot Marketplace or the Shopify App Store, authorizing the associated OAuth connection, or otherwise using an App constitutes full acceptance of these Terms by the Customer. If you are accepting on behalf of a business, you represent that you have the authority to bind that business.

Each App also operates within, and is subject to, the terms of its respective marketplace: the HubSpot Marketplace Provider Agreement and applicable HubSpot platform policies for ARBridge for QuickBooks, and the Shopify Partner Program Agreement and applicable Shopify Acceptable Use Policy for Order Issue Alerts. Where these Terms and the applicable marketplace's own end-user terms conflict on a matter the marketplace platform itself controls (e.g., billing mechanics processed through that platform), the marketplace's terms govern for that matter.

3. The Services

We operate two distinct marketplace applications, described below. Full detail on what data each App accesses and how it is processed is set out in our Privacy Policy, which forms part of these Terms by reference.

3.1 ARBridge for QuickBooks

ARBridge is a HubSpot Marketplace app. For each Customer who installs it, ARBridge reads Customer, Invoice, and Payment records from that Customer's own QuickBooks Desktop company file — via QuickBooks Web Connector, using the qbXML protocol — and writes a derived financial picture into that same Customer's own HubSpot account. It does not aggregate or share data across different Customers.

3.2 Order Issue Alerts

Order Issue Alerts is a Shopify App Store app, embedded in Shopify Admin. For each Customer who installs it, it reads that Customer's own Shopify store data — orders, fulfillments, inventory, and locations — via Shopify's GraphQL Admin API, and produces a nightly AI-summarized digest that surfaces fulfillment delays, inventory mismatches, address-validation issues, and stalled third-party-fulfillment orders in one prioritized list inside Shopify Admin.

🚧 We may add, modify, or retire features of either App from time to time. Where a change would materially reduce functionality a Customer relies on, we will provide notice through the App's dashboard, the relevant marketplace listing, or direct communication where practicable.

4. Free Trials

ARBridge for QuickBooks is offered with a free trial period requiring a valid payment method at signup; ARBridge does not offer an indefinite free tier. A separate partner/reseller pricing arrangement is available for bookkeeping and accounting firms managing multiple QuickBooks files on behalf of their own clients.

Order Issue Alerts is offered with a free trial period at installation, provisioned and administered through Shopify's own Billing API. From time to time we may run a time-limited promotional offer (e.g., an extended trial for early installs); eligibility for any such promotion is determined at the time of installation and is not retroactive.

Unless cancelled before the trial period ends, a subscription will automatically continue at the plan selected at signup, billed as described in Section 6.

5. Account, Installation & Marketplace Requirements

Using either App requires the Customer to authorize an OAuth connection to the relevant Connected Platform (HubSpot for ARBridge; Shopify for Order Issue Alerts), and, for ARBridge, to also configure a QuickBooks Web Connector connection to their own QuickBooks Desktop company file. The Customer is responsible for:

6. Fees & Billing

Current pricing for each App — including plan tiers, included usage allowances, and any overage terms — is published in that App's marketplace listing and/or in-app billing screen at the time of subscription, and forms part of these Terms for that subscription.

Fees are exclusive of applicable taxes unless stated otherwise. We may change pricing prospectively; changes will not apply retroactively to a billing period already in progress, and we will give reasonable advance notice before a price change takes effect for an existing subscription.

7. Term, Cancellation & Uninstallation

Each subscription runs on a rolling billing cycle and continues until cancelled. A Customer may cancel at any time — for Order Issue Alerts, by uninstalling the app from Shopify Admin or cancelling via Shopify's billing controls; for ARBridge, by cancelling through the ARBridge billing dashboard or disconnecting the app from HubSpot. Cancellation takes effect at the end of the then-current billing cycle unless stated otherwise at checkout; we do not provide prorated refunds for the unused portion of a billing cycle except where required by law.

We may suspend or terminate access to an App if a Customer materially breaches these Terms (including non-payment) and does not cure the breach within a reasonable period after notice, or where required to comply with a marketplace platform's own policies (HubSpot's or Shopify's).

8. Data, Privacy & Security

Our collection, processing, storage, and deletion of data through both Apps — including the specific data categories synced, subprocessors used, retention periods, and GDPR-related rights — is governed by our Privacy Policy, incorporated into these Terms by reference. In the event of a conflict between these Terms and the Privacy Policy on a data-handling question, the Privacy Policy governs.

Both Apps use encryption for credentials and tokens at rest (AES-256) and for data in transit (TLS). Where we act as a data processor on a Customer's behalf, the Customer remains the data controller responsible for having a lawful basis to share End Customer data with us.

10. Intellectual Property

We retain all right, title, and interest in and to each App, including its software, design, and documentation. Subject to these Terms and payment of applicable fees, we grant the Customer a limited, non-exclusive, non-transferable right to use the Services for its own internal business purposes for the duration of its subscription.

The Customer retains all rights to its own business data — including the data synced from its QuickBooks or Shopify account — and grants us only the rights necessary to provide the Services as described in Section 3 and our Privacy Policy.

11. Disclaimers & Warranties

The Services are provided "as is" and "as available." We do not warrant that either App will be uninterrupted or error-free, that the AI-generated summaries produced by Order Issue Alerts will be free of inaccuracy, or that the derived financial fields computed by ARBridge (such as AR aging or credit-status flags) will match every Customer's own internal accounting treatment. Both Apps are decision-support tools; Customers remain responsible for their own financial and operational decisions.

Except as expressly stated in these Terms, we disclaim all other warranties, whether express, implied, or statutory, to the fullest extent permitted by applicable law.

12. Limitation of Liability & Indemnification

To the maximum extent permitted by applicable law, our total liability arising out of or relating to a Customer's use of either App will not exceed the fees actually paid by that Customer to us for the relevant App in the twelve (12) months preceding the event giving rise to the claim.

We will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data, arising from use of or inability to use the Services, even if advised of the possibility of such damages.

Each party agrees to indemnify the other against third-party claims arising from its own breach of these Terms, to the extent permitted by applicable law.

13. Third-Party Platforms

Both Apps depend on third-party platforms we do not control — HubSpot, Shopify, QuickBooks Desktop/QuickBooks Web Connector, and our underlying cloud-hosting and AI-model infrastructure. We are not responsible for outages, API changes, or data unavailable to us because of a failure, policy change, or limitation of one of these third-party platforms. Where such a platform materially changes its API, policies, or availability in a way that affects an App, we will make reasonable efforts to adapt or notify affected Customers.

14. Force Majeure

Neither party will be liable for delay or failure to perform an obligation under these Terms to the extent caused by circumstances beyond its reasonable control, including outages or failures of third-party infrastructure providers (hosting, AI model providers, HubSpot, Shopify, or Intuit/QuickBooks).

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of Hungary, without regard to conflict-of-law principles, reflecting AgoraCrew's registered place of business. Any dispute arising out of or relating to these Terms that cannot be resolved informally will be subject to the exclusive jurisdiction of the competent courts of Hungary, subject to any mandatory consumer- or data-protection venue rules that cannot be waived by agreement.

16. Changes to These Terms

We may update these Terms from time to time, including to reflect changes in either App's functionality, applicable law, or marketplace platform requirements. When we make a material change, we will update the "Last Updated" date at the top of this page and, where practicable, notify affected Customers through the relevant App's dashboard or by email.

Continued use of an App after updated Terms take effect constitutes acceptance of those Terms.

17. General Provisions

Entire agreement. These Terms, together with the Privacy Policy referenced herein, constitute the entire agreement between the parties regarding the Services and supersede any prior agreement on the same subject.

No waiver. A party's failure to enforce a provision of these Terms is not a waiver of its right to do so later.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

Assignment. A Customer may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.
